Deadline Diary โ Terms of Service
Operated by GMS Suite Ltd
Last updated 23 July 2026 ยท Version 1.0
These Terms of Service ("Terms") govern your access to and use of Deadline Diary. Please read them carefully. By creating an Account, accepting these Terms during onboarding, or otherwise accessing or using the Service, you agree to be bound by them. If you do not agree, do not use the Service.
1. Parties and definitions
1.1 Parties
These Terms are a contract between:
- GMS Suite Ltd, a company incorporated in England and Wales whose registered number and registered office are shown on the public register at Companies House, ICO registration number ZC130423 ("GMS", "we", "us", "our"); and
- you, the person or firm that accesses or uses the Service, on your own behalf and, where you access it in the course of a business, profession or firm, on behalf of that business, profession or firm (the "Customer", "you", "your").
Each is a "party" and together the "parties". Where an individual accepts these Terms on behalf of a firm or other organisation, that individual warrants that they have authority to bind it, and "you" means both that individual and that organisation.
1.2 Definitions
In these Terms, unless the context requires otherwise:
- "Account" means the authenticated account through which you access the Service.
- "Alert" or "Digest" means an email the Service sends you reporting detected changes in the Register data for the companies on one of your Watchlists, according to the cadence, change types and lead times you have chosen for that Watchlist.
- "Companies House" means the Registrar of Companies for England and Wales / the United Kingdom, and its statutory functions.
- "Confidential Information" means non-public information of a party disclosed to the other in connection with the Service that is marked confidential or would reasonably be understood to be confidential, including your Watchlists and Customer Content, and our non-public technical, security and commercial information.
- "Customer Content" means the company numbers, labels, uploaded spreadsheets and other data you enter into, upload to, or generate within the Service.
- "Data Protection Laws" means all laws relating to data protection and privacy applicable in the United Kingdom, including the UK GDPR, the Data Protection Act 2018 and the Privacy and Electronic Communications (EC Directive) Regulations 2003, in each case as amended, extended or re-enacted from time to time (including by the Data (Use and Access) Act 2025) and any successor legislation.
- "DPA" means the Data Processing Agreement between the parties governing GMS's processing, as a processor on your instructions, of any personal data contained in your Watchlists. It is presented to and accepted by you at onboarding and forms part of the Contract.
- "ECCTA" means the Economic Crime and Corporate Transparency Act 2023, including its director and person-with-significant-control identity-verification requirements.
- "Fees" means any charges payable for the Service under a plan you have selected; where the Service is provided free of monetary charge, Fees are nil.
- "Privacy Notice" means GMS's privacy notice for the Service, available at https://deadlinediary.co.uk/legal/privacy, which describes how we process personal data as a controller. That document, and not the general Simplinuity website notice, is the one you accept and the one that governs the Service.
- "Register" means the public register maintained by Companies House (and, where Irish monitoring is made available, the register maintained by the Irish Companies Registration Office).
- "Service" or "Deadline Diary" means the Deadline Diary application operated by GMS at https://deadlinediary.co.uk/, including the Watchlist dashboards, the bulk spreadsheet check, the monitoring engine and the Alerts, together with any related pages, features and email output.
- "Free Check" means the public, un-authenticated check at https://deadlinediary.co.uk/check/, which requires no account. The Free Check forms part of the Service. By using it you accept these Terms, and in particular clauses 11 (no warranty as to the register), 12 (limitation of liability) and 13 (acceptable use) apply to it in full. Because the Free Check requires no account, no Account-specific clause applies to it. If you press the button to create an account and bring your checked list with you, we hold that list of company numbers in confidence, use it for no purpose other than offering to create the Watchlist you asked for, and delete it once you have added or discarded it, and in any event within 7 days.
- "UK GDPR" has the meaning given in section 3(10) of the Data Protection Act 2018.
- "Watched Company" means a company you add to a Watchlist.
- "Watchlist" means one of the named lists of companies (by company number, with your own labels) that you create and maintain in your Account for monitoring. You may hold more than one Watchlist, each with its own alert preferences.
- References to a statute or statutory provision are to that provision as amended, extended or re-enacted from time to time.
1.3 Interpretation
Headings are for convenience only. "Including", "in particular" and similar words are illustrative and do not limit what precedes them. "Writing" includes email and in-application electronic acceptance. The Schedules and any incorporated documents form part of these Terms.
2. The agreement, acceptance and consideration
2.1 Incorporation and acceptance
These Terms, together with the DPA and the Privacy Notice, form the entire agreement between the parties for the Service (the "Contract"). You accept these Terms when you set your Account password using the single-use link we email you at sign-up โ at which point you also accept the DPA and the Privacy Notice โ and by accessing or using the Service. We recommend you save or print a copy; we keep a durable record of the version you accepted and the date and time you accepted it.
2.2 Order of precedence
If there is a conflict between the documents making up the Contract, the following order of precedence applies, from highest: (a) the DPA, in respect of GMS's processing of personal data as your processor; (b) these Terms; (c) the Privacy Notice, in respect of GMS's processing of personal data as a controller.
2.3 Consideration
These Terms are supported by valuable consideration, comprising (as applicable) your payment of any Fees and, in every case, your provision of Customer Content, your acceptance of the obligations, licences, warranties and indemnities in these Terms, and the parties' mutual promises. Where the Service is provided without a monetary charge, these Terms are nonetheless a binding contract.
2.4 Business customers only
The Service is provided for use by businesses, professionals and firms (in particular accountants, bookkeepers and other advisers) in the course of their trade, business, profession or craft. It is not intended for, or offered to, consumers, and you confirm that you are accepting these Terms in the course of a business, profession or firm. Accordingly, the Consumer Rights Act 2015 does not apply to the Contract, and these Terms are subject to the Unfair Contract Terms Act 1977.
3. Service description
3.1 What the Service does
You organise the companies you want to monitor into one or more named Watchlists, and you set โ separately for each Watchlist โ the alert cadence (daily, weekly or off), the change types you want to be told about (such as annual accounts, confirmation statement, director/PSC identity verification, company status and other details), and how far ahead of each deadline you want to be warned.
The Service reads publicly available information from the Register for the companies you choose to monitor, and:
- (a) displays, in your Account, the current published statutory-compliance position of each Watched Company as shown on the Register, including its company status, annual-accounts filing dates and deadlines, confirmation-statement dates and deadlines, and the director/PSC identity-verification position required under ECCTA;
- (b) checks each Watched Company against the Register on a recurring basis and emails you a Digest when it detects a change to the fields you have chosen to monitor, at the cadence you have set for the relevant Watchlist; and
- (c) lets you run one-off bulk checks by uploading a spreadsheet or pasting a list of company numbers.
3.2 What the Service reports
The Service reports what the Register shows. It reads and relays published data and detects changes to it. It does not determine, calculate, certify, guarantee or advise on any company's compliance status, and it does not file anything with Companies House or any other body.
3.3 Officer data is fetched live, not stored
Director and PSC information (including names and identity-verification status) is retrieved from the Register live at the time you view a company and is not written to disk by the Service. The Service stores only company numbers, your labels, and company-level snapshots consisting of dates and status values (which do not contain individuals' names), as needed to detect changes.
3.4 Scope and evolution
The Service currently covers UK companies. Irish (CRO) monitoring may be made available in future; until we confirm it is live, Irish companies added to a Watchlist are shown as pending and are not monitored. We may add, change or remove features from time to time in accordance with clauses 10 and 14.
4. Nature of the Service: a monitoring aid, not advice
This clause 4 defines what the Service is and is not. You accept the Service on this basis, and it governs how the Service is to be understood and relied upon.
4.1 A monitoring and alerting aid
The Service is a monitoring and alerting aid. It is not accounting, bookkeeping, tax, legal, audit, company-secretarial or compliance advice, and it does not create any advisory, fiduciary or professional-client relationship between you and GMS. GMS is not your accountant, auditor, solicitor or agent, and does not undertake to advise you.
4.2 The Register is authoritative
The Register maintained by Companies House is the sole authoritative source of the information the Service reports. Where anything shown or sent by the Service differs from, conflicts with, is more or less current than, or is absent from the Register, the Register prevails. You must verify the position directly with the Register before taking, or refraining from, any action that has legal, regulatory or financial consequences.
4.3 You remain responsible
You remain solely responsible for:
- (a) determining and meeting your own and your clients' statutory obligations, deadlines and filings (including annual accounts, confirmation statements and ECCTA identity verification);
- (b) making all filings with Companies House and any other authority; and
- (c) complying with your own professional, regulatory and legal obligations.
The Service files nothing on your behalf, extends no deadline, and does not discharge or reduce any obligation you or your clients owe. The Service supports your professional judgment; it does not replace it, or replace checking the Register.
4.4 No guarantee of detection, timeliness or delivery
We do not warrant or guarantee that the Service will detect every change, detect any change accurately or in time, or deliver any Alert. Alerts depend on data published by Companies House and on third-party email delivery, neither of which is within our control, and on the cadence and settings you choose (including turning Alerts off). Absence of an Alert does not mean nothing has changed, and receipt of an Alert does not mean that every change has been captured. You must not treat the Service as a complete or fail-safe compliance system.
4.5 Basis of dealing
The way the Service is defined in this clause 4 is a fundamental basis on which GMS provides it, is reflected in the terms on which it is offered (including that it is currently free), and is reasonable having regard to the nature of the Service described in clause 3. This clause describes the scope of what GMS provides; the allocation of liability for that scope is set out in clause 12.
5. Accounts, eligibility and security
5.1 Creating your Account
Sign-up is self-serve. You provide your name and work email; we email you a single-use link; and clicking that link โ which confirms the mailbox is yours โ lets you set a password and accept these Terms, the DPA and the Privacy Notice. You must provide accurate registration details and keep them up to date. We may suspend or withdraw an Account in accordance with clause 13, including where required by law or by Companies House.
5.2 Credentials
You are responsible for keeping your Account credentials confidential and for all activity under your Account. You must choose a password meeting our stated minimum strength, must not share your credentials, and must notify us promptly at hello@simplinuity.com if you suspect any unauthorised access. If you forget your password, you can reset it yourself using the self-serve reset. Subject to clause 12, we are not liable for loss arising from your failure to keep your credentials secure.
5.3 One firm, appropriate use
An Account is for use by you and, where you are a firm, your authorised personnel acting for the firm. You must not permit access by anyone else, or operate the Account as a bureau for third parties, except as permitted by clause 8.
6. Intellectual property and licence
6.1 Our IP
The Service, and all software, code, designs, text, layouts, logos, trade marks and other materials comprising it (excluding Customer Content and Register data), are owned by GMS or its licensors and are protected by intellectual-property rights. Nothing in these Terms transfers any such rights to you.
6.2 Licence to you
Subject to your compliance with these Terms, GMS grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service for your internal business purposes during the term of the Contract. All rights not expressly granted are reserved.
6.3 Your Content
You retain all rights in Customer Content. You grant GMS a non-exclusive, worldwide, royalty-free licence to host, store, copy, process and transmit Customer Content to the extent necessary to provide, secure and maintain the Service and to comply with law. To the extent Customer Content contains personal data that GMS processes as your processor (your Watchlists), GMS's use of that personal data is governed by, and limited to the purposes permitted by, the DPA and clause 9.3; the licence in this clause does not authorise GMS to use that Watchlist personal data to develop or improve the Service, except to the extent the DPA expressly permits (for example, the creation and use of aggregated or anonymised data that is no longer personal data). GMS may use other Customer Content, and aggregated or anonymised data derived from the Service, to secure, maintain and improve the Service.
6.4 Register data
Data sourced from the Register is used by GMS as permitted by Companies House and applicable licensing. You must not use Register data obtained through the Service otherwise than as permitted by law and by Companies House's terms of use.
6.5 Feedback
If you give us feedback or suggestions, we may use them without restriction or obligation to you.
7. Your obligations and warranties
You represent, warrant and undertake, on each occasion you use the Service, that:
7.1 Authority and lawful basis to monitor
You are entitled to add and monitor each company number you enter; doing so is for a legitimate professional purpose; and it breaches no obligation of confidentiality, contract or law owed by you (including to your clients). Where any Customer Content constitutes personal data, you have a valid lawful basis under the UK GDPR for the processing you instruct GMS to carry out on your behalf, and you have obtained or given any notices and satisfied any conditions required for that processing.
7.2 Your own transparency duties to your clients
You are responsible for your own duties as a controller towards your clients and any individuals whose data your use of the Service involves, including the duty to provide privacy information under Articles 13 and 14 of the UK GDPR. GMS's Privacy Notice covers only GMS's own processing as a controller; it does not discharge, and you must not rely on it to discharge, your transparency or other data-protection obligations to your clients.
7.3 Accuracy of Customer Content
The company numbers and other data you upload are your responsibility. The Service relies on the accuracy of the numbers you provide; an incorrect, mistyped or outdated number will cause the Service to monitor the wrong company or nothing at all. You are responsible for verifying that each number corresponds to the company you intend to monitor.
7.4 Professional responsibility
Where you are a member of, or regulated by, a professional body, you remain fully responsible for meeting your professional and regulatory obligations. Your use of the Service does not modify, reduce or satisfy those obligations, and you must not represent to any client or third party that it does.
7.5 Compliance with law
You will use the Service in compliance with all applicable laws, including data-protection and anti-money-laundering law, and will not use it to infringe the rights of any person.
8. Acceptable use
You must not, and must not permit any person to:
- (a) monitor a company in which you have no legitimate professional interest;
- (b) operate the Service as a service bureau or reseller for third parties, or make the Service available to any person who is not authorised under your Account, in each case without our prior written agreement;
- (c) scrape, crawl, bulk-extract, overload, probe, penetration-test, denial-of-service, or otherwise interfere with the Service or its infrastructure, or exceed or circumvent any rate limit, quota or access control;
- (d) reverse-engineer, decompile, disassemble or attempt to derive the source code of the Service, except to the extent this restriction is prohibited by law;
- (e) copy, modify, distribute, sell, sub-licence or create derivative works of the Service;
- (f) upload malware, or any content that is unlawful, infringing or that you are not entitled to upload;
- (g) use the Service to send unsolicited communications or in breach of the Privacy and Electronic Communications (EC Directive) Regulations 2003; or
- (h) use the Service in any manner not permitted by these Terms.
We may investigate suspected breaches and may suspend or terminate access under clause 13. You will not use the Service in a way that risks GMS's own access to Companies House data or breaches Companies House's terms.
9. Data protection
9.1 Three data relationships
The parties acknowledge that the Service involves three data relationships:
- (a) Your Account data (such as your name, firm, email, IP address and login history) โ GMS is the controller, and processes it as described in the Privacy Notice;
- (b) Your Watchlists (the company numbers and labels you enter, to the extent these contain personal data) โ GMS acts as your processor, on your documented instructions, under the DPA; and
- (c) Live-fetched director/PSC Register data โ GMS is an independent controller, deciding to read that public-register data to provide the Service, and processes it as described in the Privacy Notice on the basis of its legitimate interests under Article 6(1)(f) of the UK GDPR (supported by a documented legitimate-interests assessment and the transparency information given under Article 14). This data is fetched live and not stored, and it is not within the scope of the DPA.
9.2 Compliance
Each party will comply with the Data Protection Laws in respect of its own processing. GMS's processing of Watchlist personal data on your behalf is governed by the DPA, which prevails over these Terms to the extent of any conflict on that subject. Nothing in the Contract limits or excludes: (a) either party's liability to a data subject under Article 82 of the UK GDPR (a statutory right to compensation that cannot be affected by a contract to which the data subject is not a party); or (b) any liability of either party to the Information Commissioner (or any successor regulator, including the Information Commission established under the Data (Use and Access) Act 2025) under the enforcement and penalty provisions of the UK GDPR and the Data Protection Act 2018. Liability of the kinds in (a) and (b) cannot be limited or excluded by agreement. This clause does not prevent the parties from allocating liability between themselves, or from exercising any right of contribution or recovery under Article 82(5) of the UK GDPR, in each case subject to clause 12.
9.3 No secondary use
GMS will not use Watchlist personal data for any purpose other than providing the Service on your instructions and as permitted by the DPA. Any future advertising-supported or data-monetisation model will be introduced only on terms consistent with GMS's processor role over the Watchlist and with the Privacy Notice, and, where it would materially change how personal data is used, only on notice under clause 14 and, where required, with a renewed lawful basis and updated notices.
10. Fees and changes to pricing
10.1 Current provision
The Service is currently provided free of monetary charge, on an "as is" and "as available" basis, with no service-level commitment. Providing the Service without charge does not reduce either party's obligations under data-protection law or these Terms.
10.2 Future charges and tiers
We may, on at least 30 days' prior notice given under clause 14, introduce charges, paid plans, usage limits or an advertising-supported tier, or change any of them. If you do not accept a new charge, your remedy is to stop using the Service and, where relevant, close your Account before the change takes effect; continued use after the change takes effect constitutes acceptance.
10.3 Where Fees apply
Where Fees apply, they are payable in advance unless stated otherwise, are exclusive of VAT (which you will pay where chargeable), and are non-refundable except as required by law or expressly stated. We may suspend the Service for non-payment after notice.
11. Indemnity
11.1 Your indemnity
You will indemnify and hold GMS harmless against all losses, liabilities, damages, costs and expenses (including reasonable legal costs) that GMS reasonably incurs arising out of or in connection with:
- (a) your breach of clause 7 (your obligations and warranties) or clause 8 (acceptable use);
- (b) any claim by a third party (including any client of yours, or any individual whose data you cause GMS to process) that your use of the Service, or Customer Content, infringed their rights or breached any law, including data-protection law; and
- (c) your provision to GMS of instructions or Customer Content that were unlawful or that you were not entitled to provide.
11.2 Conduct
GMS will notify you promptly of any claim to which the indemnity applies, will not settle it without your consent (not to be unreasonably withheld), and will give you reasonable assistance (at your cost) in dealing with it. This indemnity is subject to clause 12.1 (non-excludable liabilities) but is not subject to the cap in clause 12.3, which limits GMS's liability to you and not yours to GMS.
12. Limitation of liability
This clause 12 allocates risk between the parties and should be read in full. Some liabilities cannot lawfully be excluded, and these Terms do not exclude them (clause 12.1). The remaining limits are a reasonable allocation of commercial risk.
12.1 Liabilities we do not exclude
Nothing in these Terms excludes or limits GMS's liability for:
- (a) death or personal injury caused by GMS's negligence;
- (b) fraud or fraudulent misrepresentation;
- (c) any liability to a data subject under Article 82 of the UK GDPR, or to the Information Commissioner (or any successor regulator) under the enforcement or penalty provisions of the UK GDPR or the Data Protection Act 2018, in each case to the extent it cannot lawfully be excluded or limited; or
- (d) any other liability that cannot lawfully be excluded or limited.
12.2 Loss we exclude
Subject to clause 12.1, GMS is not liable, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any:
- (a) loss of profit, revenue, business, contracts or anticipated savings;
- (b) financial penalty, late-filing penalty, fine, interest or charge levied by Companies House, HMRC or any authority;
- (c) loss of, or damage to, goodwill or reputation;
- (d) loss arising from a missed, late or incorrect filing or a missed deadline; or
- (e) indirect or consequential loss,
in each case even if the loss was foreseeable and even if GMS was advised of the possibility of it. The losses in (a)โ(d) are risks that you can and should insure against and manage through your own compliance processes, consistent with the responsibility you retain under clause 4.3 and with the nature of the Service as a monitoring aid (clause 4).
12.3 Overall cap
Subject to clauses 12.1 and 12.2, GMS's total aggregate liability arising out of or in connection with the Contract (including the DPA, save for liabilities within clause 12.1) in any 12-month period is limited to the greater of:
- (a) the total Fees paid by you to GMS under the Contract in the 12 months immediately before the first event giving rise to the liability; and
- (b) ยฃ1,000.
This cap is a reasonable allocation of risk, having regard to the nature of the Service as a monitoring aid whose output you verify against the authoritative Register (clause 4), the price of the Service, and your ability, as a professional, to manage and insure compliance risk through your own processes and cover.
12.4 Independent provisions
Each exclusion and limitation in this clause 12 operates independently. If any is held to be unenforceable or unreasonable, that does not affect the enforceability of the others, which continue to apply.
12.5 Insure your own risk
You acknowledge that the excluded and capped losses are risks best borne and insured by you, and you are strongly advised to maintain adequate professional indemnity and other insurance appropriate to your business.
12.6 Your liability
Nothing in this clause 12 limits your liability to pay Fees when due or to indemnify GMS under clause 11.
13. Suspension and termination
13.1 Termination by you
You may stop using the Service at any time, and you may close and delete your Account yourself from your Account settings. You can also export your Customer Content from your Account settings before you do.
13.2 Termination by us
Either party may terminate the Contract on 30 days' written notice. We may, in addition, suspend or terminate your access immediately, on notice, if: (a) you materially breach these Terms (including clauses 7 or 8) and, where the breach is capable of remedy, fail to remedy it within 14 days of notice; (b) we are required to do so by law or by a regulator; (c) Companies House withdraws or restricts our access to Register data; or (d) we reasonably believe your use poses a security, legal or operational risk.
13.3 Effect of termination
On termination, your licence under clause 6.2 ends and your access ceases. Your data is deleted or returned as described in the Privacy Notice and, for Watchlist personal data, the DPA; we may retain a minimal record that you accepted these Terms (which version, and when) for the purpose of establishing or defending legal claims. Termination does not affect any accrued rights or liabilities.
13.4 Survival
Clauses 1, 4, 6.1, 6.3, 6.4, 6.5, 7, 9, 11, 12, 13.3, 13.4, 15, 16, 17 and 18, and any provision that by its nature should survive, survive termination.
14. Changes to these Terms
14.1 Right to change
We may change these Terms, the Service, and (subject to clause 10) the Fees, from time to time โ for example to reflect changes in the Service, in law, in our sub-processors, or in our monetisation model.
14.2 Notice and re-acceptance
We will give you reasonable notice of any material change (normally at least 30 days), by email to your Account address and/or in the Service. Where a change is material, we may require you to accept the updated Terms before you continue to use the Service, and we will record that renewed acceptance. Non-material changes take effect on posting. Your continued use of the Service after a change takes effect constitutes acceptance of it; if you do not accept a change, your remedy is to stop using the Service and close your Account.
15. Dispute resolution and escalation
15.1 Good-faith escalation
If a dispute arises out of or in connection with the Contract, the parties will first try to resolve it in good faith. Either party may escalate by written notice describing the dispute, and each party will nominate a senior representative to meet (in person or remotely) within 14 days of the notice to seek resolution.
15.2 Mediation
If the dispute is not resolved within 30 days of the escalation notice, the parties will consider referring it to mediation under the CEDR Model Mediation Procedure before commencing court proceedings. Nothing in this clause requires the parties to mediate where one party reasonably considers mediation inappropriate.
15.3 No bar to proceedings or urgent relief
This clause does not prevent either party from commencing court proceedings, and does not restrict either party's right to seek urgent interim or injunctive relief at any time, including to protect Confidential Information or intellectual-property rights.
16. General
16.1 Confidentiality
Each party will keep the other's Confidential Information confidential and use it only for the Contract, except where disclosure is required by law or regulator, or the information is or becomes public other than through breach. This clause does not restrict GMS's processing of personal data under the Privacy Notice or the DPA.
16.2 Force majeure
Neither party is liable for failure or delay in performing its obligations (other than payment) caused by events beyond its reasonable control, including failures of Companies House, internet or email infrastructure, hosting providers, or acts of government. This does not limit your obligation to meet your own statutory deadlines, which are yours alone (clause 4.3).
16.3 Assignment
You may not assign, transfer or sub-contract the Contract without our prior written consent. GMS may assign or transfer the Contract to an affiliate or in connection with a reorganisation, merger or sale of its business, on notice to you.
16.4 Entire agreement and non-reliance
The Contract is the entire agreement between the parties on its subject matter and supersedes all prior discussions, representations and agreements. Each party agrees that it has not relied on, and (save as set out below) has no remedy for, any statement, representation or warranty not set out in the Contract. This clause operates as an agreed basis of dealing and does not exclude or restrict any liability more than the law permits; to the extent it excludes or restricts liability for misrepresentation, it is subject to section 3 of the Misrepresentation Act 1967 and the reasonableness test of the Unfair Contract Terms Act 1977. Nothing in this clause limits liability for fraud or fraudulent misrepresentation.
16.5 Severance
If any provision of the Contract is or becomes invalid, illegal or unenforceable, it is to be deemed modified to the minimum extent necessary to make it valid, or, if that is not possible, deemed deleted; the rest of the Contract is unaffected.
16.6 Waiver
No failure or delay in exercising a right is a waiver of it, and no single or partial exercise prevents further exercise.
16.7 No partnership or agency
Nothing in the Contract creates a partnership, joint venture, agency or employment relationship between the parties.
16.8 Notices
Notices to GMS must be sent to hello@simplinuity.com (and, where these Terms require writing, are validly given by email). Notices to you may be sent to your Account email address. Notices are deemed received on the next business day after sending by email.
16.9 Third parties
A person who is not a party to the Contract has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of its terms. The companies and individuals you monitor, and your own clients, acquire no rights against GMS under the Contract.
17. Governing law and jurisdiction
The Contract, and any dispute or claim (including non-contractual disputes or claims, such as a claim in tort or for misrepresentation) arising out of or in connection with it or its subject matter or formation, are governed by the law of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales.
18. About us and contact
The Service is operated by GMS Suite Ltd, a company registered in England and Wales (registered number and registered office on the public register at Companies House), ICO registration ZC130423. For any question about these Terms, contact hello@simplinuity.com.
